1. The agreement
These Terms & Conditions ("Terms") govern your use of the nascsystems.com website and the Nasc platform and services ("Services"), provided by Nasc ("we," "us," "our") of San Antonio, Texas. By using the site, booking a demo, or purchasing Services, you ("you," "Client") agree to these Terms. If you sign a separate service agreement or order form with us, that document controls where it differs from these Terms.
2. The services
Nasc provides a branded marketing and CRM platform and related done-for-you services for commercial and residential service businesses — including lead capture, missed call text back, automated follow-up, online booking, review generation, campaigns, reactivation projects, optional AI call answering, and website builds, as described in your selected plan. We build and configure your system for you and provide ongoing support as included in your plan.
3. Fees and billing
- Subscription fees are billed monthly in advance and auto-renew each month until cancelled. Annual plans are billed yearly in advance and include two months free and a waived setup fee, as published on our pricing page.
- Setup fees are one-time, due before onboarding begins, and non-refundable once setup work has started, because the work is real and immediate.
- One-time projects (such as Reactivation Sprints and website builds) are billed per the quoted scope. Performance-based pricing, where offered, is invoiced as agreed in writing.
- Usage. Plans include reasonable communication volumes (texts, emails, and, where applicable, AI call minutes). Usage beyond your plan's allowance is billed at the overage rates disclosed to you.
- Founding-client rates remain locked for as long as the subscription stays active and in good standing; they do not survive cancellation and re-signup.
- Late or failed payments. If payment fails and isn't cured within 10 days of notice, we may suspend Services until the account is current.
- Prices for new terms may change with at least 30 days' notice; changes never apply retroactively to a period you've already paid for.
4. Term and cancellation
- Monthly plans are month to month. Cancel any time by emailing chris@nascsystems.com; cancellation takes effect at the end of the current billing period. We don't do cancellation phone-tree games.
- Annual plans run for the prepaid year and renew annually unless cancelled before renewal. Annual fees are non-refundable once the year begins, which is part of why they're discounted.
- On cancellation, we'll provide a reasonable export of your customer and lead data on request within 30 days, after which we may delete it.
- We may suspend or terminate Services for material breach of these Terms, unlawful use, or non-payment.
5. Your responsibilities
- Provide accurate business information and timely access to what we need to set up and run your system (branding, phone numbers, customer lists, account access).
- Use the Services lawfully and only for your own business.
- Keep your login credentials secure. You're responsible for activity under your account.
6. Messaging compliance (important)
Text and voice outreach is regulated — including by the TCPA, the CAN-SPAM Act, and carrier A2P 10DLC rules. We register campaigns and build opt-out handling into every system we deploy. You are responsible for the lists you provide: by giving us a contact list, you represent that you have the legally required consent to contact those people and that the list is accurate. You agree to honor opt-outs and not to ask us to message people who have not consented.
We may decline or pause any campaign we reasonably believe violates law or carrier policy. Where our clients use the platform to message their customers, our clients are the sender of record and responsible for their own consent practices; we provide compliant tooling and guidance.
7. AI answering disclosure
Where the AI voice receptionist is enabled, calls may be answered by an automated assistant. It is configured to identify itself as an automated assistant, and calls may be recorded and transcribed to book appointments and improve service, consistent with applicable law and our Privacy Policy.
8. Ownership
- Your data is yours. You own your customer lists, leads, conversations, and business content in your system.
- The platform is ours. Nasc and its licensors retain all rights in the platform, templates, automations, snapshots, documentation, and branding. You get a non-exclusive, non-transferable right to use them while your subscription is active.
- Websites we build for you are yours upon full payment, excluding our underlying templates and tools, which we license to you for the life of your care plan.
9. No guarantees, just work
We build systems that respond fast, follow up consistently, and request reviews automatically — and we stand behind that. But marketing results depend on factors we don't control (your market, your pricing, your crews, your reputation). Any figures we cite — missed-call values, response-rate statistics, revenue examples — are market benchmarks and illustrations, not promises. The Services are provided "as is," and we disclaim implied warranties of merchantability and fitness for a particular purpose to the extent permitted by law. Third-party networks (phone carriers, email providers, ad platforms, review platforms) can change rules or have outages that affect delivery; we'll always work the problem, but we can't warrant third parties.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages, or lost profits or revenue. Our total liability arising out of the Services is capped at the amounts you paid us in the three (3) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
11. Indemnification
You agree to indemnify and hold Nasc harmless from claims arising out of your content, your customer lists and consent practices, or your unlawful use of the Services. We agree to indemnify you against claims that the platform, as provided by us and used as directed, infringes a third party's intellectual property rights.
12. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Bexar County, Texas, and both parties consent to that venue. Before filing anything, both parties agree to try to resolve the issue directly first — a phone call fixes most things.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be posted here with a new effective date, and active clients will be notified. Continued use of the Services after changes take effect means you accept them.
